These Terms of Service (“Terms”) govern use of the services (“Services”) provided by Paso Robles Tech, a Secure IT Solutions company. By accessing or using our Services, you agree to these Terms.

Please read these Terms carefully. If you do not agree to these Terms, do not use our Services.

1. Acceptance of Terms

By using the Services provided by Paso Robles Tech (“Company,” “we,” “us,” or “our”), you (“Client,” “you,” or “your”) agree to abide by these Terms. If you are entering into this agreement on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms.

2. Services Provided

Secure IT Solutions, including but not limited to:

• IT consulting
• Cybersecurity and risk management
• Managed IT support
• Cloud solutions
• System integration
• Software implementation
• Data backup and disaster recovery services
• Break-fix services

The specifics of the Services to be provided will be detailed in a separate agreement or service order, if applicable.

3. User Responsibilities

As a Client, you agree to:

• Provide accurate and complete information necessary for the provision of Services.
• Maintain the confidentiality and security of all user accounts and credentials provided by Paso Robles Tech.
• Ensure that your use of the Services complies with all applicable laws, regulations, and third-party agreements.
• Notify us immediately of any breach or security concern related to your account or the Services.

You are solely responsible for the content, data, and systems you use in conjunction with our Services. Paso Robles Tech does not assume responsibility for your use of third-party software or services.

4. Service Availability and Maintenance

Paso Robles Tech will make commercially reasonable efforts to ensure the availability of Services, but we do not guarantee uninterrupted access. We may schedule maintenance or updates that could impact Service availability and will provide reasonable notice of such events when possible.

5. Security and Data Protection

At Paso Robles Tech, we prioritize the security and confidentiality of your data. We will use commercially reasonable efforts to protect your data from unauthorized access, disclosure, or loss, in compliance with applicable data protection laws.

However, you acknowledge that no security system is 100% secure, and we cannot guarantee the absolute protection of your data. You are responsible for maintaining backup copies of critical data and for taking appropriate precautions to prevent data loss.

Data Usage: We may collect, process, and store certain data in the course of providing our Services, subject to our privacy policy and any applicable data protection laws. By using our Services, you consent to this data collection.

6. Fees and Payment

The fees for Services will be outlined in a separate agreement or service order and are due according to the payment schedule agreed upon. You agree to pay all applicable fees as specified. Payments not received by the due date will be subject to late fees and may result in the suspension or termination of Services.

If you wish to dispute any charges, you must notify us in writing within 30 days from the date of the invoice. Failure to do so constitutes acceptance of the charges.

7. Intellectual Property

You retain ownership of all intellectual property you provide to us (e.g., data, content, software, etc.) in connection with the Services. Paso Robles Tech retains ownership of all intellectual property related to the Services we provide, including but not limited to proprietary tools, systems, and methodologies.

You may not copy, modify, distribute, or reverse-engineer any part of our Services or proprietary materials without our explicit consent.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the provision of Services. This includes, but is not limited to, business data, technical details, and client-specific information. This confidentiality obligation shall survive the termination of this agreement.

9. Limitation of Liability

In no event will Paso Robles Tech, its directors, employees, or contractors be liable for any indirect, incidental, special, or consequential damages arising out of or related to the use of our Services, even if we were advised of the possibility of such damages.

Our liability for direct damages will be limited to the amount you have paid for the specific Services causing the issue within the six months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Paso Robles Tech, its affiliates, employees, agents, and contractors from any claims, damages, losses, liabilities, and expenses arising out of your use of the Services, including any third-party claims arising from your violation of these Terms or any applicable law.

11. Termination

Paso Robles Tech may suspend or terminate access to the Services immediately if we determine, in our sole discretion, that you have violated these Terms.

12. Force Majeure

We will not be held liable for any failure to perform or delay in performing our obligations under these Terms if such failure or delay is due to events beyond our reasonable control, including but not limited to acts of nature, war, strikes, telecommunications failures, or government action.

13. Amendments to These Terms

Paso Robles Tech reserves the right to amend or update these Terms at any time. We will notify you of any material changes to the Terms, and your continued use of our Services after such changes constitutes acceptance of the revised Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. Any dispute arising out of or related to these Terms shall be resolved through binding arbitration in Paso Robles California, and the decision of the arbitrator(s) shall be final and binding.

15. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and Paso Robles Tech regarding the Services, superseding any prior agreements or understandings.
• Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full effect.
• Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of such provision.
